These Terms and Conditions govern access to and use of alemaybusiness.com, app.alemaybusiness.com, and Ale app. By using our digital services, you accept these Terms to the extent permitted by law.
They primarily govern digital use. Specific services may require separate contracts, engagement letters, authorizations, disclosures, consents, payments, and documents.
1. About Alemay Business
Alemay Business LLC is a business and professional services company. It provides services directly within its capabilities and authority, and coordinates professionals, partners, or providers when a matter requires additional licensing, authority, expertise, or capability.
The scope of any service depends on the client, jurisdiction, applicable regulation, and third-party participation.
2. Use of Website and Ale App
Our digital services may offer information, resources, forms, appointments, communications, and other features. Ale app currently does not require a user account.
Future features such as accounts, authentication, payments, documents, or referrals may be subject to additional terms.
3. General and Educational Information
Public content is general and educational in nature. It is not automatically individualized tax, legal, financial, credit, insurance, investment, accounting, or professional advice.
4. Digital Use Does Not Automatically Create a Professional Relationship
Using the website or app, submitting a form or message, downloading a resource, messaging on WhatsApp, or having an initial consultation does not automatically create a professional, contractual, fiduciary, attorney-client, accountant-client, or advisory relationship.
A service relationship requires completing the applicable steps, documents, and payments.
5. Consultations and Appointments
Availability can change. Booking an appointment does not guarantee case acceptance, provision of a service, or any particular result.
6. Forms and Preliminary Assessments
Information submitted should be reasonably complete and accurate. A preliminary assessment is not a final opinion or a guarantee that a matter will be accepted.
7. Information and Documents Provided by Users
Users are responsible for providing reasonably accurate, complete, and authentic information. Alemay may rely on that information and may request more.
Sensitive information should not be submitted through public or unauthorized channels.
8. Electronic Communications
We may respond electronically. Administrative or service communications may be necessary; marketing communications are subject to applicable requirements. Users should keep contact information current.
9. WhatsApp and Third-Party Services
Third-party integrations are subject to each provider’s terms. Alemay does not control all technical, policy, or security aspects of those platforms.
10. Free Resources and Educational Materials
Free resources are general and educational, are not an individualized analysis, and do not guarantee results.
Unless otherwise stated, they are for personal or internal use. Resale, commercial redistribution, mass reproduction, or presenting them as your own is not permitted.
11. Intellectual Property
Original content belongs to Alemay Business or is used under license. Access transfers no ownership. Copying, modifying, selling, sublicensing, or commercially exploiting content without authorization is not permitted. Third-party marks remain the property of their owners.
12. Acceptable Use
Illegal, fraudulent, or abusive activity, unauthorized access, malware, interference with systems, impersonation, unauthorized data collection, abusive automation, and infringement are prohibited. Alemay may restrict access.
13. Specific Services
Public descriptions are general. The actual service is governed by the applicable agreement and circumstances, and may require separate contracts, disclosures, authorizations, verification, documentation, and professional participation.
In the event of a conflict, the specific service agreement controls.
14. Regulated Services and Professionals
Alemay provides directly what falls within its capabilities and authority, and coordinates the appropriate professional when additional authority, licensing, or expertise is required. Nothing implies licenses not held. Independent professionals may have their own terms and their own relationship with the client.
15. Decisions Made by Third Parties
The IRS and other government entities, credit bureaus and furnishers, banks, lenders, brokers, carriers, the Marketplace, financial institutions, and courts make their own decisions. Alemay does not control them.
There are no guarantees of approvals, financing, tax outcomes, credit outcomes, deletions, premiums, subsidies, coverage, underwriting, issuance, claims, government determinations, or third-party timing.
16. No Guarantee of Results
Testimonials, examples, scenarios, or results referenced are not guarantees. Service-specific disclaimers supplement this section.
17. Information May Change
Laws, regulations, tax and credit rules, products, insurance, rates, and requirements change. Verify current information when needed.
18. External Links
External links are provided for convenience and do not imply universal endorsement, control, or guarantee.
19. Availability and Operation
We do not guarantee uninterrupted or error-free operation. Maintenance, provider, Internet, device, or security events may occur.
20. Payments and Future Features
Ale app does not process payments at this time. Future payments or subscriptions may involve third parties and additional terms. Adding a future feature does not retroactively modify a previously provided service.
21. Privacy
Handling of information is governed by the Privacy Policy, along with any service-specific confidentiality and security obligations.
22. Limitation of Liability
To the extent permitted by law, we are not liable for indirect, incidental, special, exemplary, or consequential damages arising solely from the use of or inability to use the digital services, where such a limitation is enforceable.
Nothing excludes liability that cannot be waived by law. Obligations under a specific service may be governed separately.
23. Indemnification for Misuse
To the extent permitted by law, users are responsible for reasonable losses, claims, or expenses arising directly from unlawful, fraudulent, or intentionally abusive digital use, or from a material breach of these Terms. This does not transfer Alemay’s own legal liability.
24. Suspension or Termination of Access
We may suspend or terminate access for security, maintenance, fraud, abuse, legal compliance, or breach of these Terms. This does not automatically terminate obligations under a separately contracted service.
25. Changes to Digital Services
We may add, modify, or remove features, including future accounts, authentication, client tools, referrals, payments, or document features, and will update legal documents when a change is material.
26. Changes to Terms
We will update the Last Updated date. Continued use may be subject to the updated terms to the extent permitted by law.
27. Governing Law and Venue
Florida and United States law apply. Disputes arising solely from these Terms or digital use shall be brought in courts of competent jurisdiction in Miami-Dade County, unless mandatory law or a specific agreement provides otherwise.
This does not modify valid arbitration or venue provisions contained in specific service agreements.
28. Severability
If any provision is found invalid or unenforceable, the remaining provisions remain in effect to the extent permitted by law.
29. No Waiver
Failure to enforce a right or provision does not constitute a waiver of that right or provision.
30. Terms Applicable to Digital Use
These Terms, the Privacy Policy, and applicable notices govern digital use and do not replace service agreements.
